Terms of Service
Agreement to these terms
These Terms of Service govern your use of nephroreach.com and of the NephroReach platform. By using either, you agree to them. If you are agreeing on behalf of a practice or organization, you confirm you have authority to bind it, and "you" means that organization.
If a signed subscription agreement exists between NephroReach LLC and your organization, that agreement controls wherever it conflicts with these terms.
What NephroReach provides
NephroReach provides a kidney health education curriculum and a dashboard that lets a nephrology practice enroll its patients, deliver that curriculum to them, and see who completed it. The curriculum is currently delivered in two pathways: a five day course for urgent dialysis starts and a twenty one day course for planned transitions.
We may change, add to or withdraw features. If a change materially reduces what a paying practice receives, we will give notice by email before it takes effect.
Educational content is not medical advice
NephroReach provides general education about kidney disease and dialysis. It is not medical advice, it is not a diagnosis, and it is not a treatment plan. It does not create a clinician and patient relationship between NephroReach and anyone who reads it.
Nothing in the curriculum should be used to make or delay a clinical decision. Patients must follow the instructions of their own care team, and should contact that team or emergency services with any medical concern. Practices remain fully responsible for the clinical care of their patients, including any decision to enroll a given patient in a pathway.
Eligibility and accounts
- The platform is offered to healthcare organizations in the United States and to their authorized staff.
- You must be at least 18 to hold an account.
- You are responsible for keeping your login credentials confidential and for what happens under your account.
- Tell us promptly at hello@nephroreach.com if you believe an account has been compromised.
Subscriptions, fees and cancellation
- Access is sold as a monthly subscription per practice. Your plan and price are set out in your order or subscription agreement.
- Fees are billed in advance and renew automatically each month until canceled.
- Cancel by writing to hello@nephroreach.com. Cancellation takes effect at the end of the current billing period, and access continues until then.
- Fees already paid are not refunded for a partial month, except where the law requires it.
- We may change pricing with at least 30 days notice by email, effective from your next renewal.
Acceptable use
You agree not to:
- Copy, resell, sublicense or redistribute the curriculum outside your own organization and its patients.
- Reverse engineer the platform or attempt to access data belonging to another organization.
- Upload anything unlawful, or any patient information you are not permitted to share with us.
- Interfere with the operation or security of the service, or use it to send unsolicited messages.
Text messages
If you opt in, NephroReach sends account and implementation text messages to practice staff. The full program, including sample messages, frequency and the exact consent language, is published on our Text Message Program page.
Reply STOP to any message to opt out, or HELP for help. Message and data rates may apply. Message frequency varies. Consent to receive text messages is not a condition of purchase.
Privacy and patient data
Our handling of information is described in the Privacy Policy, which forms part of these terms. Where we process protected health information on behalf of your practice, we do so as a business associate under a written business associate agreement, and that agreement governs that information.
Your practice is responsible for having the authorizations it needs before entering patient information into the platform.
Intellectual property
The curriculum, the platform, the NephroReach name and the material on this website belong to NephroReach LLC. Your subscription is a limited, non exclusive, non transferable right to use them for your own organization and its patients while the subscription is active. It grants nothing else.
Content your organization supplies remains yours. You grant us only the license we need to host and deliver it as part of the service.
Disclaimers and limitation of liability
The service is provided on an "as is" and "as available" basis. To the fullest extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non infringement. We do not warrant that the service will be uninterrupted or error free.
To the fullest extent the law allows, NephroReach LLC is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or lost data. Our total liability arising out of the service is limited to the fees you paid us in the twelve months before the claim arose.
Nothing in these terms limits liability that cannot lawfully be limited.
Termination
You may stop using the service at any time. We may suspend or end access if you breach these terms, if fees go unpaid, or if we are required to by law. On termination, your right to use the platform ends, and we handle any patient information as the business associate agreement requires.
Governing law
These terms are governed by the laws of the State of South Carolina, without regard to its conflict of law rules. The state and federal courts located in Richland County, South Carolina have exclusive jurisdiction, and both parties consent to that venue.
Changes to these terms
We may update these terms. The effective date at the top of this page will change, and for material updates we will notify account holders by email before they take effect. Continuing to use the service after that means you accept the updated terms.
